New Delhi, 07 July (H.S.): Foreign investment in leading online food delivery and quick commerce company Swiggy has declined below 50 per cent of its total paid-up equity share capital, falling to 49.76 per cent.

In a regulatory filing submitted to the stock exchanges on Tuesday, the company said its total foreign investment had decreased to 49.76 per cent as of July 6, 2026, resulting in domestic ownership increasing to 50.24 per cent. Swiggy clarified that the total foreign investment includes Foreign Portfolio Investment (FPI), Foreign Direct Investment (FDI), and other forms of indirect foreign investment.

The change in Swiggy's shareholding pattern is being viewed as significant as the company seeks to obtain the status of an Indian-Owned and Controlled Company (IOCC). However, the company clarified that merely crossing the 50 per cent domestic ownership threshold does not automatically result in a change in ownership or control.

Swiggy stated that the reduction in foreign shareholding has not altered the company's ownership or control structure. It further clarified that the development will have no impact on the company's share capital, management, business operations, voting rights, or any rights attached to its equity shares.

In its regulatory disclosure, the company said, Any material developments in this regard will be disclosed in accordance with the applicable laws.

Obtaining IOCC status could allow Swiggy's quick commerce arm, Instamart, to directly own and stock inventory, potentially improving operating margins and enabling better control over its supply chain.

It may be noted that in May, Swiggy failed to secure the shareholder approval required to amend its Articles of Association, a move that was intended to help the company qualify for IOCC status.
